These Terms of Service ("Terms") govern your use of the Centrixa customer relationship management platform, including the web application, mobile application, and all related services (collectively, the "Service"), operated by Periscope Labs Limited ("we," "us," or "our"), a company incorporated in Bangladesh.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms apply to all users of the Service, including individual users and the subscribing organization ("Customer").
1. Service Description
Centrixa is a cloud-based, multi-tenant customer relationship management (CRM) platform provided as a Software-as-a-Service (SaaS). The Service includes lead management, contact and account management, opportunity and pipeline tracking, quotation and approval workflows, activity and task management, reporting and analytics, and mobile application access.
2. Account Registration and Access
The Service is intended for business use by individuals aged 18 and older. Access to the Service is provisioned by the subscribing organization (the Customer). The Customer's designated administrator is responsible for managing user accounts, access levels, and permissions within their organization.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at hello@periscopelabs.io if you suspect unauthorized access to your account.
3. Subscription and Payment
Centrixa is a paid subscription service. Subscription fees are paid by the Customer organization, not individual users. Subscription terms, pricing, and payment schedules are defined in the service agreement between Periscope Labs Limited and the Customer.
Trial period: We may offer a trial period at our discretion. Trial terms will be communicated at the time of provisioning.
Refunds: Subscription fees are non-refundable except where required by applicable law or as otherwise agreed in writing.
Late payment: If payment is not received within 15 days of the due date, we reserve the right to suspend access to the Service until payment is received.
4. Acceptable Use
You agree to use the Service only for lawful business purposes. You may not:
- Use the Service to store or transmit content that violates any applicable law or regulation
- Attempt to gain unauthorized access to any part of the Service, other accounts, or systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to send unsolicited bulk communications (spam)
- Interfere with or disrupt the integrity or performance of the Service
- Share login credentials or allow unauthorized third parties to access the Service through your account
- Use the Service in any manner that could damage, disable, or impair the Service
We reserve the right to suspend or terminate accounts that violate these terms.
5. Data Ownership and Intellectual Property
Your data: The Customer retains full ownership of all business data entered into the Service ("Customer Data"). We do not claim ownership of Customer Data. We process Customer Data solely to provide the Service and as described in our Privacy Policy.
Our platform: The Service, including all software, design, documentation, and underlying technology, is the intellectual property of Periscope Labs Limited. These Terms do not grant you any ownership rights to the Service. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription.
Feedback: If you provide suggestions, feature requests, or feedback about the Service, we may use such feedback without obligation to you.
6. Data Export
The Customer may export their business data from the Service through the export features available in the Centrixa web application. We recommend Customers maintain their own backups of critical data. Upon subscription termination, Customer Data will be available for export during a 30-day grace period.
7. Service Availability
We use commercially reasonable efforts to maintain the availability of the Service. However, the Service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted or error-free operation.
We may occasionally perform scheduled maintenance that temporarily affects availability. We will endeavor to provide advance notice of planned maintenance via email or in-app notification.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amounts paid by the Customer to us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Periscope Labs Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.
10. Suspension and Termination
By the Customer: The Customer may terminate their subscription by providing written notice to us at hello@periscopelabs.io. Termination takes effect at the end of the current billing period.
By us: We may suspend or terminate access to the Service if the Customer breaches these Terms, fails to pay subscription fees after notice, or if continued provision of the Service becomes commercially impractical.
Effect of termination: Upon termination, Customer Data is retained for 30 days to allow for export, after which it enters a deletion queue. All data is permanently deleted within 90 days of termination. See our Privacy Policy for full details on data retention.
11. Modifications to Terms
We may modify these Terms from time to time. We will notify registered users of material changes via email at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
